TERMS AND CONDITIONS
~ FOR DONATION PAYMENTS ~
Fragrance O Prayer Ministry, LLC (referred to as us or we) is Registered Charity in The United States of America; Federal Identification Number: 84-2291486. We operate the website www.fragranceOprayer.com (the Website).
These are the Terms and Conditions which govern each use you make of the donation payment services provided through the Website.
These Terms and Conditions apply separately to each single donation that you make. Except as provided for in section 6, ‘Monthly Donations’, and unless specified by you, they do not form a contract allowing for future or successive transactions to be set up. By confirming on the Website that you wish to make a donation you agree to be bound by these Terms and Conditions for that donation.
(1) The donation services
We will use your donation at our discretion but within our stated charitable objectives. Unless otherwise directed in your giving selection.
All payments through the Website are to be made by payment card or echeck.
Once you confirm to us through the Website that you wish to proceed with your donation your transaction will be processed through our payment services provider, WooCommerce/authorize.net. By confirming that you wish to proceed with your donation you authorize WooCommerce/authorize.net to request funds from your credit, debit, or echeck provider.
(2) Unauthorized card use
If you become aware of fraudulent use of your card, or if it is lost or stolen, you must notify your card provider.
(3) Attendee donation
This donation will be considered the same as any other donation and these terms and conditions will apply.
(4) Information from you
Before we can process a donation you must provide us with (i) your name, address and email address; and (ii) details of the credit or debit card that you wish to use to fund the donation. We will use this information to process your donation. It is your responsibility to ensure you have provided us with the correct information.
When you submit your payment details, these details will be transferred to our payment provider, WooCommerce/authorize.net, and your payment data will be collected and processed securely by them. You should make sure that you are aware of WooCommerce/authorize.net’s terms and conditions, which are different from our own, to ensure that you are comfortable with how they will process your personal data before you make a donation.
We won’t share your personal details with any other third party other than is set out in our Privacy Policy. Our Privacy Policy forms part of these Donation Payment Terms and Conditions and by agreeing to these Terms and Conditions you are also agreeing to the way we use and protect your personal information in line with our Privacy Policy.
(5) Refund policy
If you make an error in your donation please contact us either by email at info@fragranceOprayer.com, or by mail at Fragrance O Prayer Ministry, 975 E Riggs Road, Ste 12-417, Chandler, AZ 85249 USA, within 14 days and a full refund will be made to you.
(6) Monthly donations
These Donation Payment Terms and Conditions will only apply to successive donations made through the Website where you have set up a monthly donation. When you set up a regular donation you will be scheduling a series of donations to be made on the day of the month that you choose until further notice. You agree that these Terms and Conditions will apply to each of the donations in that series.
By confirming that you wish to proceed with a monthly donation you authorize our payment service provider WooCommerce to request funds from your credit or debit card on the day of each month that you set.
To cancel your regular donation please contact us at info@fragranceOprayer.com.
(7) General
We reserve the right to amend these Donation Payment Terms and Conditions at any time.
These Donation Payment Terms and Conditions are governed by The United States of America law and are subject to the exclusive jurisdiction of the State of Arizona courts.

Terms and Conditions for SMS Messaging
General
1. When you opt-in to the service, we will send you a message to confirm your signup.
2. By opting into messages, you agree to receive recurring automated marketing and informational text messages from Fragrance O Prayer Ministry. Automated messages may be sent using an automatic telephone dialing system to the mobile telephone number you provided when signing up or any other number that you designate.
3. Message frequency varies, and additional mobile messages may be sent periodically based on your interaction with Fragrance O Prayer Ministry. Fragrance O Prayer Ministry reserves the right to alter the frequency of messages sent at any time to increase or decrease the total number of sent messages. Fragrance O Prayer Ministry also reserves the right to change the short code or phone number or alphanumeric sender where messages are sent
4. Your usual message and data rates may apply. If you have any questions about your text plan or data plan, it is best to contact your mobile provider. Your mobile provider is not liable for delayed or undelivered messages.
5. Your consent to receive marketing messages is not a condition of purchase

Carriers are not liable for delayed or undelivered messages.
Cancellation
Messages will provide instructions to unsubscribe either by texting STOP or through an included link. After you unsubscribe, we will send you a message to confirm that you have been unsubscribed and no more messages will be sent. If you would like to receive messages from Fragrance O Prayer Ministry again, just sign up as you did the first time and Fragrance O Prayer Ministry will start sending messages to you again.

You agree that before changing your mobile number or transferring your mobile number to another individual, you will either reply “STOP” from the original number or notify us of your old number at info@fragranceoprayer.com. The duty to inform us based on the above events is a condition of using this service to receive messages.

Messaging Terms Changes
We reserve the right to change or terminate our messaging program at any time. We also reserve the right to update these Messaging Terms at any time. Such changes will be effective immediately upon posting. If you do not agree to a change to these Messaging Terms, you should cancel your enrollment with our messaging program. Your continued enrollment following such changes shall constitute your acceptance of such changes.

Terms and Conditions for Speaker
General
1. These terms and conditions apply to ALL offers and agreements made to or by Fragrance O Prayer Ministry for the engagement of one or more Speakers/Specialists.
The Terms defined:
Speaker, Specialist: the person hired by the Host.
Host: the organization making the arrangement of a meeting, congress, event or production
2. Fragrance O Prayer Ministry negotiates between the Host and Speaker/Specialist for one or more appearances or activities by the Speaker/Specialist, without accepting responsibility for the quality or content of the Speaker/Specialist’s contribution and/or for the Speaker/Specialist itself.
3. Any deviation from these General Terms and Conditions shall only be permitted in case of written agreement by all parties.
Offer
4. An agreement comes into existence when the Host has accepted an offer made to or made by Fragrance O Prayer Ministry. To confirm this agreement, Fragrance O Prayer Ministry will send the Host an agreement that will be signed and returned within five days of receipt.
5. Should the Host request additional work from the Speaker/Specialist, which is not enclosed in the Agreement, the Host will be charged separately for this work by Fragrance O Prayer Ministry. In these Terms ‘additional work’ is defined as: all services and deliverables arranged by Fragrance O Prayer Ministry other than the mentioned services and deliverables in the agreement.
Donations, travel prices and payment
6. All donation prices exclude all other expenses such as travel, accommodations, and taxes, unless otherwise mentioned; and will be arranged by Host in coordination with Fragrance O Prayer Ministry and paid by Host separately.
7. The Host must pay the full donation fees and travel accommodations that are agreed upon to secure date of appearance. Payment shall be made directly to Fragrance O Prayer Ministry.
8. Should the Host be late or fail completely to make payment, then the Host shall be held negligent by law. Fragrance O Prayer Ministry is then authorized to discontinue all obligations agreed upon in the agreement or to wholly terminate the agreement. Fragrance O Prayer Ministry withholds the right to receive the redress of any damages or claims.
Conditions permitted to the performance of the Speaker/ Specialist.
9. The Host shall make sure that the venue is appropriately lit and ventilated and shall be suitable for Speaker/Specialists presentation. The Host shall fully indemnify Speaker/Specialist against any injury or damages arising out of or as a result of the event.
10. The number of people attending the meeting, as mentioned in the agreement, is binding. If the number of attendees exceeds this number, Fragrance O Prayer Ministry has the right to either cancel the engagement or to attach further Terms and Conditions.
Absence of the Speaker/Specialist
11. If the Speaker/Specialist has to withdraw from the speaking arrangement due to sickness, an emergency, an important engagement, professional responsibility or other unforeseeable circumstances, Fragrance O Prayer Ministry shall:
– Reschedule the performance in consultation with the Host, or
– Provide a substitute of equal skill to the Speaker/Specialist in consultation with the Host, in which case the possible higher or lower donation fees shall be discussed with the Host beforehand; or
– If Fragrance O Prayer Ministry and the Host cannot come to an agreement, it will be agreed to terminate the agreement with refund of any donation payments paid in advance.
12. If Speaker is delayed for reasons beyond his/her control and gives the full presentation at a later time that day, the donation fees and Speaker’s expenses shall be due in full.
13. Fragrance O Prayer Ministry shall not be held accountable for any damages as a result of the absence or the delay of the Speaker/Specialist, with or without valid reason.
Cancellation
14. The Host is allowed to cancel the Agreement partially or in full before or at the latest on the first agreed date of appearance, in which case Host will owe the following cancellation costs:
– If notice from the Host is received by Fragrance O Prayer Ministry 20 days or less prior to the first date of engagement: 100% of the agreed donation fees.
– If notice from the Host is received by Fragrance O Prayer Ministry more than 20 but 30 days or less prior to the date of the first date of engagement; 75% of the agreed donation fees.
– If notice from the Host is received by Fragrance O Prayer Ministry more than 31 days prior to the first date of engagement; 50% of the agreed donation fees.
15. Fragrance O Prayer Ministry is justified to terminate the agreement immediately when the Host:
– Falls short of his duties.
– Files for bankruptcy or is filed bankrupt.
– Applies for an official moratorium or receives suspension of payment.
– Sells his business or liquidates it.
16. Cancellation of the agreement must take place in writing either by email or regular postal mail.
Other Conditions
17. Fragrance O Prayer Ministry is allowed to mention all assignments in Fragrance O Prayer Ministry Update, Fragrance O Prayer Ministry’s newsletter and Fragrance O Prayer Ministry’s Calendar, including Host and the Speaker’s names, unless the Host explicitly requests not to be mentioned.
18. Information on the website of Fragrance O Prayer Ministry, including photo material, may be used by the Host to promote the event. Fragrance O Prayer Ministry can provide extra material (photographs, press folder) if available. The conditions shall be agreed upon separately.
19. No recordings (sound or video) shall be made during the Speaker/Specialist’s contribution, without Fragrance O Prayer Ministry’s express prior written consent on the Speaker/Specialist’s behalf.
20. Speaker’s name and likeness may not be used as an endorsement of any product or service or for any advertising or other commercial purpose other than the event itself, without Fragrance O Prayer Ministry’s express prior written consent on Speaker/Specialist’s behalf.
Liability
22. In case of deficiencies in fulfillment of the Agreement, the Host will notify Fragrance O Prayer Ministry by registered mail within reasonable period after discovery, but no later than 5 working days after the first date of the Speaker/Specialist’s engagement.
23. Fragrance O Prayer Ministry accepts no liability to third parties for damages of any kind, regardless of the cause, unless the damages are due to intention or gross negligence of Fragrance O Prayer Ministry.
24. The Host shall safeguard Fragrance O Prayer Ministry from claims made by third parties following the execution of the agreement.
25. Any liability of Fragrance O Prayer Ministry is limited to the agreed amount as stated in the Agreement.
Disputes
26. This Agreement shall be governed by the laws of The United States of America.
27. All disputes arising out or in connection with this Agreement, including collection of all donation fees, shall be settled by binding arbitration held in Phoenix Arizona, in accordance with Arizona State law.
